Welcome to Trussi.AI. These Terms and Conditions ("Terms") form a binding agreement between you (and, if you accept these Terms on behalf of an organization, that organization) and Trussi.AI ("Trussi.AI," "we," "us," or "our") and govern your access to and use of the Trussi.AI website at trussi.ai, the Trussi.AI applications, the Trussi customer portal, and any related products or services (collectively, the "Services"). Please read these Terms carefully.
1. Acceptance of Terms
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Services. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.
2. Eligibility
The Services are intended for use by businesses and individuals 18 years of age or older. By using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.
3. Accounts and User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: (a) provide accurate, current, and complete information; (b) keep your account information up to date; (c) promptly notify us at support@trussi.ai of any unauthorized use of your account or other security incident; and (d) not share your credentials or allow access by anyone other than authorized users on your account.
4. Subscription, Fees, and Payment
Access to the Services is provided on a subscription basis. Subscription fees, billing frequency, and any usage-based charges (such as SMS messaging, electronic signature envelopes, document storage above included quotas, and roof measurement reports) are described in your order form or on the Trussi.AI billing page. Subscription fees are billed in advance and are non-refundable except as required by applicable law. You authorize Trussi.AI and our payment processors to charge your designated payment method for all fees due. You are responsible for any taxes that may apply to your purchase.
We may change our fees at any time, but any changes to recurring subscription fees will take effect at the start of your next billing period after we provide at least 30 days' notice.
5. Customer Data and License
As between you and Trussi.AI, you retain all right, title, and interest in and to the customer, project, photo, document, message, and other data that you and your authorized users submit to the Services ("Customer Data"). You grant Trussi.AI a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Customer Data solely as necessary to provide and improve the Services for you, to prevent or address technical or security issues, to enforce these Terms, and to comply with applicable law.
You represent and warrant that you have all rights, consents, and authorizations necessary to submit Customer Data to the Services and to grant the license above, including with respect to any personal data of homeowners, employees, or other third parties.
6. Privacy
Our Privacy Policy explains how we collect, use, share, and protect personal information. By using the Services, you agree to our Privacy Policy.
7. Acceptable Use
You agree not to:
- Use the Services in violation of any applicable law or regulation, including consumer-protection, telemarketing, anti-spam, and fair-housing laws;
- Send messages, calls, or emails through the Services to recipients who have not provided the legally required consent (including but not limited to TCPA, CAN-SPAM, and A2P 10DLC consent requirements);
- Attempt to gain unauthorized access to the Services, related systems, or other accounts;
- Probe, scan, or test the vulnerability of any system, or breach or circumvent security or authentication measures;
- Interfere with or disrupt the Services, including by introducing malware or by overloading or "crashing" the Services;
- Reverse engineer, decompile, or disassemble any component of the Services, except where applicable law permits;
- Use the Services to build a competing product;
- Use the Services in any unreasonable, deceptive, abusive, harassing, or unethical manner.
8. SMS, A2P 10DLC, and Mobile Communications
The Services include SMS and MMS messaging features delivered through our communications provider, Twilio. By providing your mobile phone number and opting in to receive messages, you consent to receive transactional and conversational text messages from Trussi.AI and from contractors using the Services to communicate with you. Message and data rates may apply. The frequency of messages will vary based on your interaction with the Services.
You may opt out of SMS messages at any time by replying "STOP" to any message, by updating preferences in your account settings, or by contacting support@trussi.ai.
If you use the Services to send SMS messages to your customers, you are solely responsible for compliance with all applicable telemarketing laws (including the Telephone Consumer Protection Act), CTIA messaging principles, A2P 10DLC registration requirements, and consent and opt-out handling. You will not share, sell, or rent mobile information, including phone numbers and SMS opt-in consent, to third parties or affiliates for marketing or promotional purposes; this category will not be shared with any third party.
9. Third-Party Integrations
Trussi.AI allows you to connect third-party services to your account, including (without limitation) Google (Calendar, Google Ads, Google Local Services Ads, Google Analytics, Google Search Console, Google Maps), DocuSign, QuickBooks Online (Intuit), Twilio, Meta (Facebook/Instagram) Ads, ABC Supply, Beacon, RoofScope, EagleView, and Five9. By connecting a third-party service, you authorize Trussi.AI to access and exchange data with that service on your behalf in accordance with the permissions you grant during the authorization process and as described in our Privacy Policy.
You represent and warrant that you have the authority to connect those accounts and to authorize the data exchange. Trussi.AI is not responsible for the availability, accuracy, or completeness of data provided by, or actions taken by, third-party services. You may disconnect any third-party integration at any time through your account settings, and where applicable through the third-party provider's permissions page (e.g., myaccount.google.com/permissions).
Third-party services are governed by their own terms of service and privacy policies. Your use of those services is subject to those terms in addition to these Terms. Without limiting the foregoing:
- Google APIs. Trussi.AI's use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy for the specific scopes requested and how data is used.
- DocuSign. Use of electronic signature features is subject to DocuSign's Terms of Use. You are responsible for ensuring that the documents you send for signature comply with applicable e-signature laws (including ESIGN and UETA in the United States).
- QuickBooks Online. Use of QuickBooks features is subject to Intuit's QuickBooks Terms of Service.
- Twilio. Use of SMS, voice, and OTP features is subject to Twilio's Acceptable Use Policy.
- Payment processors. Payments processed through the Services are governed by our payment processor's terms.
10. Artificial Intelligence Features
The Services include features that use large language models from Anthropic, PBC, to assist you with tasks such as conversational assistance, optical character recognition, image analysis, voice note transcription, automatic file categorization, and quality checks on uploaded media. Outputs from AI features are generated automatically and may contain inaccuracies. You are responsible for reviewing and verifying AI-generated outputs before relying on them, particularly for material decisions involving financial, legal, contractual, safety, or compliance matters.
Trussi.AI does not use Customer Data, customer photos, documents, voice notes, calendar data, advertising data, or data obtained from any third-party integration to train, fine-tune, or otherwise develop generalized artificial intelligence or machine learning models. AI inference performed for an individual customer is restricted to that customer's own tenant.
11. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and other content (other than Customer Data), are owned by Trussi.AI or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes and in accordance with these Terms.
You may from time to time provide suggestions, feedback, or enhancement requests to us regarding the Services ("Feedback"). You hereby grant Trussi.AI a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate Feedback into the Services without compensation or attribution to you.
12. Confidentiality
Each party will protect the other party's non-public business and technical information ("Confidential Information") with the same degree of care that it uses to protect its own confidential information of like importance, and in no event less than reasonable care. Confidential Information will be used only as necessary to perform under these Terms.
13. Suspension and Termination
You may cancel your subscription at any time through your account settings. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, if your account is delinquent on fees, if required by law, or to protect the security or integrity of the Services. Upon termination, your right to access the Services will cease, and we will delete or return Customer Data in accordance with our Privacy Policy and applicable law. Sections that by their nature should survive termination will survive.
14. Disclaimer of Warranties
THE SERVICES, INCLUDING ALL CONTENT, OUTPUTS, AND DATA PROVIDED THROUGH OR DERIVED FROM THE SERVICES, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUSSI.AI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. TRUSSI.AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUSSI.AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF TRUSSI.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TRUSSI.AI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO TRUSSI.AI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
16. Indemnification
You will defend, indemnify, and hold harmless Trussi.AI and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Customer Data; (b) your use of the Services in violation of these Terms or applicable law; (c) your violation of any third party's rights, including any homeowner's or recipient's rights under telemarketing or privacy laws; or (d) your violation of the terms or policies of any third-party service you connect to the Services.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Kansas, without regard to its conflicts-of-laws principles. The state and federal courts located in Johnson County, Kansas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and the parties consent to personal jurisdiction in those courts. To the extent permitted by law, you and Trussi.AI each waive any right to a jury trial.
18. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will notify you (for example, by email or by posting a notice in the Services) at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of those Terms.
19. Miscellaneous
These Terms, together with our Privacy Policy and any order form, constitute the entire agreement between you and Trussi.AI regarding the Services and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect. Trussi.AI's failure to enforce any provision is not a waiver of its right to do so later. You may not assign these Terms without our prior written consent; Trussi.AI may assign these Terms in connection with a merger, acquisition, or sale of assets.
